Terms of Service Agreement for NGDB™

These terms of service govern your use of NGDB™ created by Legends of NGDB. (“Bot Creator”).

By adding NGDB™ to your Discord server, you agree to be bound by this Agreement. If you do not agree to all the terms and conditions of this Agreement, then you may not use the Bot.

1. License

Legends of NGDB grants you a limited, non-exclusive, non-transferable, revocable license to use the Bot solely for your own personal or internal business use in accordance with this Agreement.

2. Restrictions

You may not, directly or indirectly, and may not permit any third party to:

a. Copy, modify, create derivative works of, distribute, sell, sublicense, or transfer the Bot or any portion thereof;

b. Use the Bot for any purpose other than its intended purpose;

c. Use the Bot to harass, abuse, defame, threaten, or otherwise violate the legal rights (including but not limited to rights of privacy and publicity) of others;

d. Use the Bot to transmit or upload any material that contains viruses, Trojan horses, worms, time-bombs, or any other harmful programs or elements;

e. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Bot or any component thereof;

f. Remove or alter any copyright, trademark, or other proprietary notices from the Bot or any component thereof;

g. Use the Bot in violation of any applicable law or regulation.

3. Intellectual Property

Legends of NGDB retains all right, title, and interest in and to the Bot and any and all intellectual property rights in and to the Bot, including without limitation any copyrights, trademarks, trade secrets, and patents.

4. Termination

This Agreement shall remain in effect until terminated by either party. You may terminate this Agreement by removing the Bot from your Discord server. Legends of NGDB may terminate this Agreement at any time without notice.

5. Disclaimer of Warranties

NGDB™ IS PROVIDED “AS IS” AND LEGENDS OF NGDB MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LEGENDS OF NGDB DOES NOT WARRANT THAT NGDB™ WILL BE ERROR-FREE OR UNINTERRUPTED OR THAT ANY ERRORS WILL BE CORRECTED.

6. Limitation of Liability

LEGENDS OF NGDB SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF LEGENDS OF NGDB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Indemnification

You agree to indemnify, defend, and hold harmless Legends of NGDB and its affiliates, officers, directors, employees, agents, and contractors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including without limitation attorneys’ fees) arising out of or in connection with your use of the Bot.

8. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement shall be exclusively resolved, and you hereby consent to the personal jurisdiction of such courts.

9. Modification of Agreement

Legends of NGDB reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, Legends of NGDB will provide notice prior to any new terms taking effect. What constitutes a material change will be determined at Legends of NGDB’s sole discretion.

10. Entire Agreement

This Agreement constitutes the entire agreement between you and Legends of NGDB regarding the use of NGDB™, and supersedes all prior agreements and understandings, whether written or oral, regarding such subject matter.

11. Waiver and Severability

The failure of Legends of NGDB to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

By adding NGDB™ to your Discord server, you agree to be bound by this Agreement. If you do not agree to all the terms and conditions of this Agreement, then you may not use NGDB™.
